Terms of Service

These Terms of Service ("Terms") govern your access to and use of www.scitechsolutions.io, including the website, accounts, application programming interfaces, software, demos, documentation, forms, online materials, subscriptions, credits, and related services provided by S&T Integrated Solutions LLC, doing business as Science & Technology Integrated Solutions ("SciTech," "we," "us," or "our"). www.scitechsolutions.io is operated by S&T Integrated Solutions LLC, doing business as Science & Technology Integrated Solutions.

By accessing or using www.scitechsolutions.io or any related service, you agree to these Terms. If you do not agree, do not access or use the website or services. If you use the services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

Product subscriptions, deployments, professional services, support, proofs of concept, pilots, enterprise engagements, and paid or unpaid trials may also be governed by a separate written agreement, order form, statement of work, proposal, data processing agreement, or other written terms. If there is a conflict between these Terms and a separate signed or expressly accepted written agreement, the separate agreement controls for that engagement.

Meter-SPW is a separate hosted service, delivered at https://spw.scitechsolutions.ai under its own Terms of Service. Those Terms govern your Meter-SPW account, its fees, and its routing behavior. The customer-application authorization in Section 4 and our Acceptable Use Policy apply to Meter-SPW in addition to its product-specific Terms; otherwise, the Meter-SPW Terms control wherever the documents differ on the same question. These Terms also govern this website.

1. Service Overview

SciTech develops software products for organizations building, operating, optimizing, and securing AI systems. Current products may include:

  • Meter-SPW: an LLM routing and cost-optimization system that evaluates requests, customer configuration, model options, cost, latency, and quality policies, and routes requests to selected large language model providers.
  • Related dashboards, APIs, logs, configuration tools, safety controls, and developer features.

In most cases, Meter-SPW deterministically routes one shot (only 1 LLM call) to the lowest-cost, capable LLM model according to your prompt complexity. However, in very rare cases, routing to cheaper models fails due to many reasons, so Meter-SPW has to retry other more capable LLM models (max total LLM calls = 3). Retries never go past the model you requested. You can visit the Meter-SPW dashboard to audit and submit disputes. Section 6 explains how those calls are billed.

Where you hold a key for it, the answer may come from a different provider than the one you named. Storing a provider key with Meter-SPW is your consent for Meter-SPW to serve your requests through that provider when it is cheaper. Switch it off under Settings → Cross-vendor routing in the Meter-SPW dashboard and your requests stay on the provider you named.

A downgrade to a cheaper model is a potential outcome, not a guarantee. Meter-SPW decides whether a cheaper model qualifies based on (a) that model's price, referenced from the LLM provider's own published pricing, and (b) that model's estimated quality, drawn from test samples that are constantly updated. Because both inputs change over time, the model selected for the same prompt can change too.

Reported savings are an estimate, not your actual bill. Savings are calculated from each provider's own published list price for a model, not from your actual runtime cost. Runtime cost can differ from list price — provider-side pricing for caching, batching, volume, and promotions varies by provider — so your realized savings can differ from what Meter-SPW reports.

A max-token setting is a target, not a guarantee. LLM providers differ in how a model generates a response — a model that reasons internally before answering can consume more tokens for a harder prompt than a smaller, non-reasoning model would for the same prompt. Depending on the model selected and the complexity of your prompt, actual token usage can exceed a configured max-token setting.

A model's output is probabilistic, not fixed. The same model, given the same prompt, can return answers of different quality from one run to the next. A benchmark score is a graded sample from one run at one point in time, not a guarantee about any individual call — including a call Meter-SPW routes for you.

The services may evolve over time. We may add, remove, suspend, modify, limit, or discontinue products, models, features, documentation, APIs, free trials, credits, and integrations at any time, subject to any applicable written agreement.

2. What a Routing Decision Is — and Is Not

A routing decision is the output of Meter-SPW's checks and the policies you configured, applied to the request you sent. It is a recommendation about which model can answer that request at acceptable quality for the lowest cost.

It is not a guarantee that an output is safe, lawful, ethical, or correct, and it is not legal, financial, medical, or safety advice. You remain responsible for what your systems do with a model's output. Where an action taken on that output could cause harm, loss, or a regulatory breach, a human being — not this service — must be accountable for allowing it.

A routed answer is not guaranteed to equal what the named model would have returned, or what a benchmark scored. The answer you receive may differ from the named model's own answer in wording, in length, and occasionally in substance — and, because model output is probabilistic, two calls to the very same model can also differ from each other. We do not offer a guarantee of equivalence between a routed answer and any other answer, whether from the named model or from a benchmark run.

A routing recommendation is a recommendation, and validating it for your use case remains yours.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the services. You may not use the services if you were previously suspended or removed, if you are barred under applicable law, or if your use would violate sanctions, export control, privacy, cybersecurity, or other applicable laws.

4. Accounts, Organizations, and Authorized Users

To access most product features, you may need to create an account. You agree that account information you provide is accurate, current, and complete, and that you will keep it updated.

The services may support individual accounts and organizational accounts. An organizational account may be managed by one or more administrators who can invite authorized users, configure permissions, enable or disable logging, configure BYOK settings, set model policies, manage billing, purchase credits, and control access. Authorized users may only use the services as permitted by the organization and these Terms.

You are responsible for maintaining the confidentiality of passwords, API keys, provider keys, access tokens, and other credentials. An API key is shown once at creation; anyone holding it can spend your credits and read your audit history, so treat it as a password. You are responsible for all activity under your account, organization, API keys, and credentials. You can revoke and rotate keys yourself from the dashboard at any time, and you must promptly notify us at security@scitechsolutions.ai if you suspect unauthorized access, credential compromise, account misuse, or a security incident.

If you sign in with Google or GitHub, that sign-in method is also governed by that provider's own terms and privacy policy. We do not control, and are not responsible for, the availability, security, or account practices of Google or GitHub. If a provider restricts your account or is unavailable, you may be unable to sign in until you use another method.

You must not share one account across parties that should not see each other's audit history.

Customer Applications and End Users

Subject to these Terms, the applicable product-specific Terms, your payment obligations, and any documented service limits, you may integrate or embed Meter-SPW into an application, product, or service that you own or control and make that customer-facing offering available to your own customers and end users (a "Customer Application"). This permission includes calling the applicable APIs from a Customer Application and displaying or using the resulting routing decisions, model outputs, and audit information as part of that Customer Application.

This permission does not allow you to sell or transfer a SciTech account, API key, credit balance, or standalone or raw access to our APIs; hold yourself out as the owner or operator of Meter-SPW; circumvent our billing, usage, security, or access controls; or operate a competing model router, aggregation service, benchmark platform, or AI safety service without our written permission.

You are responsible for each Customer Application and its customers and end users. You must provide legally required notices and obtain legally required rights and consents; ensure their use complies with these Terms, the Acceptable Use Policy, applicable product and model-provider terms, and law; protect credentials and prevent end users from accessing raw API keys; and remain responsible to us for activity conducted through your account and Customer Applications.

5. API Keys and BYOK Mode

www.scitechsolutions.io may offer BYOK mode. In BYOK mode:

  • Customer provides provider API keys.
  • Customer has the direct provider relationship.
  • Customer controls provider account settings.
  • SciTech routes requests using customer-configured keys.
  • Storing a provider key is Customer's consent for Meter-SPW to route requests through that provider when it is cheaper; Customer can switch cross-vendor routing off under Settings → Cross-vendor routing.
  • Provider keys are encrypted at rest with AES-256-GCM and are never stored in plaintext. Their encryption key is held only in the environment, never in the database or repository.

You are responsible for maintaining valid provider accounts, complying with provider terms, setting retention and training preferences with those providers, monitoring usage and costs, and paying any provider charges directly charged to your provider accounts. We are not responsible for third-party provider billing, provider-side account suspension, provider-side data retention, provider-side model training, provider outages, regional restrictions, rate limits, quality issues, or other acts or omissions of providers.

You may not submit provider keys unless you have authority to do so. You may not use another person's or organization's provider account, API key, credentials, billing account, or model access without authorization.

Managed Keys

Where Managed Keys is offered to your account and you activate it, Meter-SPW relays your requests under our vendor account instead of your provider key. At activation you choose the vendors you authorize and accept a percentage markup. Your prepaid credit pays the confirmed vendor usage plus that markup — including for failed, cancelled, or retried attempts — separately from savings fees. Our vendor credentials are never disclosed to you, and we never switch your funding mode silently. The Meter-SPW Terms govern the details.

6. Credits, Promotions, Billing, and Taxes

The services may require paid subscriptions, prepaid credits, usage-based fees, professional service fees, or other charges. Pricing, promotional offers, credit requirements, trial terms, renewal terms, and payment terms may be shown at signup, checkout, in an order form, in an invoice, in-product, or in a separate written agreement.

Prepaid services work on a balance, and we will email you before it runs out where we can. What an empty Meter-SPW balance does depends on your funding mode; that, and how Meter-SPW fees work, is described below.

Meter-SPW charges a platform fee of $0.0001 per request, plus a small percentage ≤ 20% (displayed on your dashboard) per successful saving (e.g., successful route-down to a cheaper LLM model that is capable of answering your prompt at a good quality). The platform fee is charged per request, not per LLM call, so a retried request carries one platform fee, not three. If there's no saving, Meter-SPW charges nothing beside the platform fee from your balance. Meter-SPW fees accrue per call and settle at the end of each billing period — not at the moment of the call. You can audit the saving history on your dashboard at any time.

You can dispute a Meter-SPW savings fee from the dashboard for up to seven (7) days after the call; that window ends earlier if the call's monthly billing period closes first. A closed period is never reopened. Approved credit posts to your ledger within 72 hours, as a refund entry you can see.

The savings share is calculated the same way — from list price, not your actual provider bill. Where your actual runtime cost differs from list price, the saving used to calculate the fee is still the estimated one, not your realized bill.

A retry costs you nothing in SciTech credits. In the very rare cases where Meter-SPW has to retry (max total LLM calls = 3), we charge no additional fee for the extra calls — we do not charge you for savings we did not deliver. Your model provider still bills you directly for every LLM call that was made under your own key, so a retried request does cost you more on your provider bill than a one-shot one. Under Managed Keys, the confirmed vendor usage and markup for every attempt are paid from your credit instead. Retries are uncommon.

What an empty Meter-SPW balance does depends on your funding mode. Fees accrue against your balance in real time as you make requests, even though they do not settle until the end of the billing period. When your balance reaches zero:

  • BYOK without cost protection (the behavior unless you activate cost protection): Meter-SPW keeps relaying your requests to the model you requested, under your own provider key, and stops routing down to cheaper models. Your provider bills you as usual, so your provider charges may rise. Routing down resumes once your balance is positive again. No $0.0001 platform fee is charged at a $0 balance.
  • BYOK with cost protection (opt-in): routing down continues within the grace amount and duration disclosed to your account. When grace expires, requests stop with an insufficient-credit response; they are not passed through to the model you requested. Service resumes once you add enough credit to cover what you owe plus any recovery buffer your policy requires; a smaller top-up may not restore it. Provider charges and savings fees incurred during grace remain payable.
  • Managed Keys: there is no grace. When your available credit runs out, new paid calls stop until you add credit.

We never see or store your payment card or other payment method details. Payments are taken by Stripe, which is the merchant of record for every purchase of credit: Stripe sells you the credit, holds your card details and billing address, issues the receipt, and calculates, collects and remits any tax due. We credit your balance with the amount that reaches us, and hold only the resulting credit-ledger entry. That ledger is append-only, because a ledger that can be rewritten is not a financial record.

We may offer free trials, free credits, promotional credits, introductory access, discounted periods, usage allowances, or other promotional offers from time to time. The amount, duration, eligibility requirements, first-time-user requirements, payment or prepaid-credit requirements, geographic availability, permitted use, expiration, and other conditions for any promotion will be described at signup, checkout, in-product notices, or the applicable promotional terms. Promotions are optional, limited, subject to change, and may be modified, suspended, extended, discontinued, denied, or conditioned on eligibility, payment verification, fraud review, region, account status, usage pattern, or other criteria at any time and without advance notice, to the fullest extent permitted by law. Where your balance includes both promotional credit and purchased credit, promotional credit is used first. Promotional credits and benefits have no cash value and may not be sold, transferred, assigned, redeemed for cash, or used outside the stated promotion.

Unless expressly stated otherwise or required by law, unused credits are non-refundable — except where we have charged you in error, in which case tell us and we will correct it. If you violate these Terms, engage in abuse, fraud, chargeback abuse, payment misuse, multiple-account abuse, or other prohibited conduct, any unused credits may be forfeited and will not be refunded.

Credits are not convertible back to cash. Whether purchased or granted, credits may be spent on the services but may not be redeemed, exchanged, sold, transferred, or converted back into money in any form.

Purchased credits do not expire for as long as Meter-SPW is operational. If we discontinue Meter-SPW, we will give you at least 90 days' notice, during which you may continue to spend your remaining credits. Credits unused at the end of that period expire. Promotional, trial, bonus, referral, or free credits may expire where that is disclosed at issuance or in the applicable promotion. Prices may change with notice; credits you have already purchased are unaffected. We may set minimum and maximum credit purchase amounts, rate limits, monthly usage limits, account limits, fraud controls, and risk controls.

Credit is prepaid. When you buy credit, you authorize Stripe, as merchant of record, to charge your selected payment method for that purchase and for any tax Stripe calculates on it. Stripe calculates, collects and remits the tax due on a purchase of credit; you remain responsible for any other tax the law imposes on you in connection with your use of the services. We may suspend or limit service for unpaid amounts, failed payments, chargebacks, suspected fraud, or payment risk.

For billing questions or payment problems, contact billing@scitechsolutions.ai. Receipts for purchases of credit are issued by Stripe. Savings-fee disputes are opened from the Meter-SPW dashboard, as described above.

7. Availability

We aim to keep the services available continuously and we monitor them around the clock, but we do not currently offer a contractual uptime SLA. Maintenance, deployment, and provider outages can interrupt service.

If your system cannot tolerate an interruption, design your integration's fail policy accordingly: decide in advance whether an unreachable router means fail-open or fail-closed for you. An empty balance is a separate case: depending on your funding mode, Meter-SPW either keeps relaying without optimizing or stops new requests, as described in Section 6.

8. Model Providers and Third-Party Services

Meter-SPW routes requests to models and services operated by third-party model providers, cloud providers, infrastructure providers, communications providers, payment processors, security providers, open-source software, and other third-party services. Third-party services are governed by their own terms and policies. The processors we rely on are named in Schedule 3 of the Data Processing Agreement.

By using a service that accesses a model provider, you agree to comply, and to ensure your authorized users comply, with applicable provider terms, documentation, safety policies, regional restrictions, and usage restrictions. You are solely responsible for reviewing provider terms and determining whether they permit your intended use, data, users, region, industry, and risk profile.

Model providers may add, remove, restrict, suspend, degrade, modify, or discontinue models at any time. Certain models may be unavailable in certain regions, industries, organizations, users, or use cases. We do not guarantee availability, uptime, quality, pricing, retention settings, training practices, accuracy, intellectual-property treatment, or security practices of any model provider.

9. User Content, Customer Data, Inputs, and Outputs

You may submit prompts, files, configuration data, credentials, API requests, telemetry, logs, instructions, policies, feedback, messages, and other information to the services (collectively, "Input"). You may receive model outputs, routing results, recommendations, logs, classifications, safety results, and other responses (collectively, "Output"). Input and Output are collectively "User Content."

As between you and us, you retain your ownership rights in your Input. Subject to applicable law, provider terms, and any separate written agreement, you own Output to the extent ownership can be assigned or recognized. You are responsible for User Content, including legality, accuracy, rights, permissions, privacy, security, compliance, and suitability for your use case.

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, transmit, cache, store, reproduce, and otherwise process User Content, including technically analyzing or modifying it, solely as necessary to: (a) produce the outputs and routing results you request; (b) maintain the audit records included in the contracted services; (c) provide, secure, support, troubleshoot, monitor, and maintain the services; (d) comply with law and fulfill or enforce our agreements; and (e) prevent abuse and protect our rights, users, systems, and third parties. This license does not permit us to use User Content for advertising, marketing, training AI models, developing unrelated products, or improving generalized models or services. We may improve the services using operational metrics only after they have been aggregated or de-identified so they cannot reasonably identify you or another person or reconstruct User Content.

We do not use customer-provided data to train AI models. However, when requests are routed to third-party model providers, those providers process data under their own terms and settings, and their practices may include retention or training unless your provider account, BYOK settings, or applicable agreement prevents it. You are responsible for reviewing and configuring provider-side data settings.

For operational performance, routing, reliability, abuse prevention, replay protection, troubleshooting, and response retrieval, Meter-SPW retains a per-call audit record containing a SHA-256 hash of your prompt — never the prompt text itself — and related routing and billing metadata. It caches the model's answer for 24 hours in memory and up to seven (7) days in the shared cache. On the small fraction of calls flagged for human review, Meter-SPW may retain the prompt and answer in a review buffer for up to seven (7) days, with earlier deletion when review concludes, subject to the backup limitation described in the Privacy Policy.

The credit ledger is append-only by design — it is the financial record behind every charge, so it is retained rather than expired, and it cannot be edited or selectively removed. You must not send us personal data you have no right to process. Retention periods are set out in the Privacy Policy, which forms part of these Terms.

10. Feedback

If you provide ideas, suggestions, feedback, improvements, benchmarks, comments, or recommendations, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use them without restriction or compensation, unless a separate written agreement says otherwise.

11. Acceptable Use

You must comply with the Acceptable Use Policy posted or made available by us, which is incorporated into these Terms. Without limiting that policy, you may not use the website or services to:

  • violate law, sanctions, export controls, privacy rights, cybersecurity laws, provider terms, or third-party rights;
  • create a false identity, misrepresent affiliation, falsify age or eligibility, impersonate any person or entity, or access another account without permission;
  • create multiple accounts, use disposable identities, rotate payment methods, use proxies or VPNs, or otherwise evade usage limits, trial limits, regional restrictions, credit limits, or safety controls;
  • resell standalone or raw API access, accounts, API keys, or credits; operate a competing model-routing or aggregation service; benchmark the service for competitive purposes; or use the service to develop a competing product without our written permission. This restriction does not prohibit a Customer Application expressly permitted by Section 4;
  • scrape, crawl, harvest, copy, monitor, or extract data from the website or services, or bypass technical measures designed to prevent scraping or abuse;
  • reverse engineer, decompile, disassemble, probe, scan, test, bypass, disable, or interfere with security, rate limits, model restrictions, access controls, or protective measures;
  • submit unlawful, infringing, deceptive, abusive, or unauthorized content;
  • transmit malware, spyware, worms, logic bombs, exploits, credential-stealing tools, or other harmful code;
  • conduct unauthorized red teaming, prompt injection testing, jailbreak testing, exploit testing, adversarial testing, or safety testing;
  • spam, phish, send unsolicited communications, manipulate users, collect personal information without consent, or conduct fraud;
  • disrupt, overload, degrade, attack, or interfere with any network, equipment, server, model, provider, user, or service;
  • sell, transfer, sublicense, or share access, accounts, API keys, credentials, credits, or materials except as expressly permitted; or
  • attempt, assist, enable, encourage, or permit any of the above.

The second-to-last of those matters more here than the others. The value of these products rests entirely on their records being truthful.

12. Authorized Safety Testing and Red Teaming

Authorized safety testing, red teaming, prompt-injection testing, jailbreak testing, exploit testing, vulnerability testing, and adversarial testing require prior written authorization from us. To request authorization, contact security@scitechsolutions.ai. Approval is granted case by case and is not guaranteed.

Unauthorized safety testing may result in suspension, termination, forfeiture of credits, revocation of API keys, reporting to providers, or other actions. Any approved testing must avoid data exfiltration, service degradation, harm to third parties, unauthorized access, persistence, malware, social engineering, provider-term violations, and testing against third-party model providers or customer environments without authorization.

13. Benchmarks and Comparative Claims

Benchmark pages, comparison pages, case studies, savings estimates, quality evaluations, latency measurements, safety results, and performance claims are provided for informational purposes unless expressly stated in a signed agreement. Benchmark results may depend on prompts, datasets, judge models, model versions, model pricing, provider availability, region, caching, configuration, hardware, software, latency, retries, scoring rubrics, run-to-run variance in model output, and date of testing.

A published quality score is a graded sample from one run at one point in time. Because model output is probabilistic, re-running the same benchmark against the same model can produce a different score, and it is not a guarantee about the quality of any individual call.

Where we publish a benchmark claim, we will make the applicable methodology available alongside it. You are responsible for independently validating whether any benchmark, routing decision, recommendation, output, safety result, or cost estimate is appropriate for your use case.

14. Privacy and Data Protection

Our Privacy Policy at https://www.scitechsolutions.io/privacy explains how we collect and use personal information, and forms part of these Terms. For customer data processed through our products or services, the applicable customer agreement and Data Processing Agreement at https://www.scitechsolutions.io/dpa govern data protection, security, retention, deletion, and processing obligations where applicable.

You keep ownership of everything you send us. The limited license in Section 9 permits us to use User Content only for the purposes expressly listed there; it does not give us an independent right to exploit User Content. We do not use User Content for advertising, marketing, training AI models, developing unrelated products, or improving generalized models or services.

15. Security

Traffic is encrypted in transit. Passwords and API keys are stored only as Argon2 hashes; per-tenant webhook secrets are encrypted at rest with AES-256-GCM; application credentials are held in Google Secret Manager rather than in files on a server; BYOK provider keys are encrypted at rest with AES-256-GCM and never stored in plaintext, using an encryption key held only in the environment and never in the database or repository. Access to production is restricted to SciTech personnel who need it. Our fuller security summary is published at https://www.scitechsolutions.io/security.

However, no method of transmission, storage, model execution, API integration, agent control, or security monitoring is completely secure. You are responsible for securing your accounts, API keys, provider keys, credentials, systems, networks, applications, prompts, data, users, and integrations. If a breach affects your data, we will notify you at your account email without undue delay.

Our SOC 2 program is in progress; unless expressly stated in writing, we do not claim current SOC 2 certification.

16. Intellectual Property

The website, services, software, APIs, dashboards, documentation, designs, logos, text, graphics, workflows, product names, and other materials are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the services in accordance with these Terms and any applicable agreement.

No ownership rights are transferred to you. You may not copy, modify, distribute, sell, lease, publicly display, create derivative works from, remove notices from, or exploit our materials except as expressly permitted by law or a written agreement.

17. Confidentiality

Each party may receive non-public, proprietary, technical, security, business, product, pricing, or other sensitive information from the other. Unless a separate agreement states otherwise, each party will use reasonable care to protect confidential information and use it only for the purpose for which it was disclosed. These obligations survive termination where permitted by law.

18. Compliance and Export Controls

You are responsible for using the website and services in compliance with all applicable laws, including privacy, data protection, cybersecurity, intellectual-property, sanctions, export-control, anti-corruption, consumer-protection, and industry-specific laws. You may not use the website or services in a country, region, or manner prohibited by applicable law, provider terms, or our policies.

19. Disclaimers

The website, services, APIs, demos, credits, dashboards, documentation, outputs, recommendations, routing decisions, safety results, and online materials are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted operation, security, and error-free operation.

No cost-optimization, AI-safety, cybersecurity, compliance, routing, monitoring, or agent-control solution can guarantee complete protection, specific savings, correct routing, accurate output, uninterrupted operation, provider availability, or a specific result in every environment.

You are solely responsible for evaluating and validating any output, recommendation, routing decision, safety decision, blocked action, allowed action, generated content, or other result, and for implementing appropriate human review, testing, governance, monitoring, and independent safeguards. You should not use the services as the sole control for regulated, high-risk, safety-critical, legal, medical, financial, employment, emergency, or similar use cases.

20. Website Information and External Links

Information on this website is provided for general informational purposes. We do not warrant that it is complete, accurate, or current, and we may change, correct, or add to it at any time without prior notice.

The website may link to websites we do not operate or control. We assume no liability for the content of linked websites. The operators of those websites are solely responsible for their content.

21. Limitation of Liability

To the fullest extent permitted by law, we and our affiliates, officers, employees, contractors, suppliers, licensors, service providers, and model providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, cost of substitute services, model-provider actions, provider outages, provider pricing changes, or loss arising from your use of or inability to use the website or services.

To the fullest extent permitted by law, our total aggregate liability for claims arising from or related to this website or Meter-SPW is limited to the fees you paid us in the three (3) months before the claim arose. A different liability cap may apply only if stated in a signed written agreement.

Nothing in these Terms excludes or limits liability that cannot lawfully be limited, including liability arising from our gross negligence or willful misconduct, or for death or personal injury caused by negligence, or for fraud.

22. Indemnification

You will defend, indemnify, and hold harmless us and our affiliates, officers, employees, contractors, suppliers, licensors, service providers, and model providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use or misuse of the website or services, User Content, provider accounts or keys, violation of these Terms, violation of law, violation of provider terms, infringement or misappropriation of third-party rights, or dispute between you and any third party.

We may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate. You may not settle any such matter without our prior written consent.

23. Suspension and Termination

We may suspend, limit, revoke, disable, or terminate access to the website, services, accounts, credits, API keys, provider integrations, models, features, or organizations if we believe you violated these Terms, created risk, infringed rights, threatened security, caused provider risk, failed to pay, engaged in abuse, triggered compliance concerns, or used the services unlawfully or harmfully. Where we can give notice first, we will.

Where we identify abuse, we may close your account immediately and without prior warning. Notice is not required before acting where waiting would let the abuse continue or would let evidence of it be destroyed.

If your account is suspended or terminated for violation of these Terms, unused credits are not refundable and may be forfeited. If we terminate without cause, we will refund your unused balance. We may also delete, disable, or restrict data in accordance with applicable law, retention settings, and our agreements.

You may close your account or stop using the services at any time. Closing an account removes your profile, single sign-on links, API keys, stored provider keys, and contact details immediately; the credit ledger and the Meter-SPW per-call audit records described in the Privacy Policy are retained as evidence. You remain responsible for fees incurred before termination and for obligations that survive termination.

24. Changes to Terms

We may update these Terms from time to time. Updates will be posted with a revised "Last updated" date. For material changes affecting paid services, we may provide notice by email, dashboard notice, or in-product notice where required or commercially reasonable. Your continued use after an update means you accept the revised Terms.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any legal suit, action, or proceeding arising out of or related to these Terms, the website, or the services shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction and venue in those courts. Nothing prevents either party from seeking injunctive or equitable relief to protect intellectual property, confidential information, security, or access controls in any court of competent jurisdiction.

If you are a consumer resident outside the United States, nothing here removes protections that the mandatory law of your country of residence gives you, including any right to bring proceedings in your local courts.

26. General Provisions

These Terms, together with the Privacy Policy, Acceptable Use Policy, DPA where applicable, and any agreement expressly incorporated by reference, constitute the entire agreement between you and us regarding the website and services unless a separate written agreement controls. If any provision is invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect. No waiver is a continuing waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization, financing, sale of assets, or by operation of law. We are not liable for delays or failures caused by events beyond our reasonable control.
